Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the https://kitiaudio.com website (the "Service") operated by KITI GROUP TECHNOLOGY GROUP JOINT STOCK COMPANY ("us", "we", or "our").

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.

1. ACCOUNTS

When you create an account with us, you must provide us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password.

2. AI SERVICES & CONTENT GENERATION

Our Service utilizes Artificial Intelligence (AI) from third-party providers (OpenAI, ElevenLabs) to generate text and audio content.

• Accuracy: AI may produce inaccurate or offensive content. You agree that KitiAudio is not responsible for the quality, accuracy, or nature of the AI-generated output.
• Prohibited Content: You may not use the Service to generate hate speech, sexually explicit content, illegal content, or content that promotes violence. Doing so will result in an immediate ban without refund.

3. INTELLECTUAL PROPERTY & COMMERCIAL RIGHTS

• Free & Starter Plans: Content generated is for Personal Use Only. You do NOT own the commercial rights to the audio files.
• Pro & Agency Plans: We grant you full Commercial Rights to the audio content generated, provided that your subscription is active at the time of generation. You own the copyright to the output.
• Platform IP: The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of KITI GROUP TECHNOLOGY GROUP JSC.

4. SUBSCRIPTIONS & PAYMENTS

• Billing: The Service is billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis (monthly or annually).
• Credits: Some features consume "Credits". Credits are purchased separately or granted monthly. Unused monthly credits do not roll over to the next month unless specified.
• Price Changes: We reserve the right to adjust pricing for our service or any components thereof in any manner and at any time as we may determine in our sole and absolute discretion.

5. REFUND POLICY (STRICT)

Due to the high costs of AI processing (GPU & API costs):

• Subscription: We offer a 3-day money-back guarantee ONLY if you have not used more than 10% of your allocated credits.
• One-time Credit Purchases: These are Non-Refundable once purchased.

6. LINKS TO OTHER WEBSITES

Our Service may contain links to third-party web sites or services that are not owned or controlled by KitiAudio. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party web sites or services.

7. TERMINATION

We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms (e.g., generating illegal content, sharing account details).

8. LIMITATION OF LIABILITY

In no event shall KITI GROUP TECHNOLOGY GROUP JSC, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

9. GOVERNING LAW

These Terms shall be governed and construed in accordance with the laws of Vietnam, without regard to its conflict of law provisions.
